N° 027 Acquisition, Takeover, Platform Change

Pimcore Technical Due Diligence – the valuation basis for acquisitions, takeovers, and platform decisions.

Acquiring a company with Pimcore in its stack, taking over a system from a previous vendor, or facing a re-platforming decision? We deliver the technical fact base for a high-stakes decision: not a quick read, but a defensible valuation report.

An acquisition, a takeover, or a full platform switch doesn't forgive blind spots. What looks like a working Pimcore system on the surface can be carrying unpatched security holes, a data model with no future, and customizations that block every upgrade to come. A Technical Due Diligence surfaces exactly that, before a signature, a purchase price, or a contract term depends on it.

What a Pimcore Technical Due Diligence Examines

Eight Dimensions

EOL and support status. Which Pimcore version is running in production, how much longer will it receive security updates, and what does a possible support lapse mean for operations after the takeover.

License exposure: GPLv3 vs. POCL. Pimcore systems through version 11.5 (Platform Version 2024.4) run under GPLv3; starting with Pimcore 12 (Platform Version 2025.1), the Community Edition is licensed under the new Pimcore Open Core License (POCL), whose free-of-charge use is tied to a revenue threshold and requires product registration. For an acquisition, what matters is which license actually applies to the installed core and the bundles in use, whether the conditions for free-of-charge use are met, and whether a planned upgrade path cleanly separates GPLv3 and POCL components. We assess that technically, not as legal counsel.

Security posture. Is the production system reachable from the open internet without an IP allowlist or VPN, is it accidentally running in debug mode, are production credentials or backups sitting in the repository, and what known vulnerabilities do the dependencies in use carry: these are the findings that turn into an acute incident fastest after a takeover.

Code quality. How cleanly is custom code built against defined extension points, how much of it reaches directly into the core and would need to be re-assessed with every update.

Data model health. Does the class structure carry the current and foreseeable requirements, or was it extended with workarounds over the years that break under scale.

Database condition. Indexes, data volume, legacy cruft, and performance metrics that show whether the system is viable at the intended scale after the takeover.

Bundle risk. Which third-party and custom bundles are compatible with current Pimcore versions, which are orphaned or dependent on a vendor who may not be part of the deal.

Migration liability. What effort and risk arise if the system has to be migrated, consolidated, or merged with another system after the takeover.

Who the Technical Due Diligence Is For

Three Audiences

Buyers and investors assessing a company with a Pimcore system in the deal as part of an acquisition

Companies facing an agency switch who want to understand the technical liability of the current system before signing a new contract

Companies fully taking over an existing Pimcore system who need to know what they've inherited before the first sprint starts

What Sets a Technical Due Diligence Apart from a Pimcore Audit

A Pimcore Audit is the productized entry point for system operators: a fixed-price assessment that delivers an honest inventory and leads to a recommendation for the next step, Rescue, upgrade, Managed Care. A Technical Due Diligence is something else: a standalone, more deeply scoped assessment for high-stakes decisions where a purchase price, a contract signature, or an acquisition decision depends directly on the result. Scope is set by the deal, not by a fixed service cut, and the deliverable isn't a "next step" but a valuation report that can feed directly into a purchase-price, contract, or acquisition decision. If you're unsure which format fits: a Technical Due Diligence is worth it once the result has to support a decision with real financial stakes, an audit is enough if you're a current operator who wants to know where you stand.

The Deliverable: a Red/Yellow/Green Valuation Report

At the end, there's no verbal impression, but a written report with a red/yellow/green (RAG) rating for each dimension examined: red for acute risk that directly affects the deal or the timeline, yellow for medium-term action items, green for solid substance. Alongside it, an estimate of migration and remediation effort, so it can feed into purchase-price negotiations, contract terms, or the acquisition plan instead of only becoming visible after the contract is signed.

Why Senior Pimcore Expertise Makes the Difference Here

A Technical Due Diligence is only as solid as the experience behind it. We've worked with Pimcore since the Zend era (2013), through multiple framework shifts and major versions. We recognize the breaking points from our own project experience, not from a checklist. That's what sets a Technical Due Diligence apart from a generic IT review that only knows Pimcore on the surface and therefore misses exactly the risks that turn out to be the most expensive in practice.

FAQ

Frequently Asked Questions

What's the difference between a Pimcore Audit and a Technical Due Diligence?

An audit is the fixed-price entry point for system operators, with a recommendation for the next step. A Technical Due Diligence is a standalone, more deeply scoped assessment for acquisition, takeover, or re-platforming decisions, whose deliverable is a valuation report, not a recommendation for a next step.

What does a Pimcore Technical Due Diligence cost?

Scope depends on the size of the system and the deal, not on a flat fixed price like the audit. We set the concrete frame once system count, data volume, and the transaction's timeframe are known.

Do you also assess multiple Pimcore systems as part of a multi-entity acquisition?

Yes. In group or portfolio acquisitions with several Pimcore installations, each system is assessed individually and then rolled up into one consolidated report.

How quickly can a Technical Due Diligence be carried out within a live deal?

That depends on access to the system, code, and data. Once a data room or direct system access is in place, we can commit to a concrete timeframe for your case.

What happens if a critical risk turns up during the due diligence?

We flag it immediately, not only in the final report: in a live transaction, when you get a piece of information often matters as much as the information itself.

Can the due diligence result also be used in negotiations with the seller?

Yes. The valuation report is built so that risks and estimated remediation effort feed directly into a purchase-price or contract negotiation.

Does the technical due diligence replace a legal review of the software licenses?

No. We assess the technical and licensing exposure, for example which Pimcore license applies to which bundles. A final legal assessment remains your lawyers' job; our report gives them the technical starting point.
